1. Acceptance of Terms

By accessing or using the services provided by Tech Delivery Partners LLC ("TDP"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website.

2. Services

TDP provides digital transformation, software development, project management, cybersecurity, cloud computing, and related technology consulting services. The scope, timeline, and deliverables of any engagement are defined in a Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties.

3. Intellectual Property

Upon full payment of all fees, TDP assigns to the client all rights, title, and interest in custom work product developed specifically for the client under a signed agreement. Pre-existing TDP intellectual property, third-party components, and open-source libraries remain the property of their respective owners and are licensed to the client as specified in the agreement.

4. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement. This obligation survives termination of the agreement for a period of three (3) years. TDP maintains strict data security policies and NDA provisions for all client engagements.

5. Payment Terms

Payment terms are specified in individual client agreements. Generally, invoices are due within 30 days of issuance. TDP reserves the right to pause services on accounts with overdue balances exceeding 30 days after providing written notice.

6. Limitation of Liability

To the maximum extent permitted by law, TDP's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. In no event shall TDP be liable for indirect, incidental, or consequential damages.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Howard County, Maryland.
